1. Acceptance of These Terms
These terms form an agreement between the person using the website or the services and ArcSquad LLC. A visitor accepts these terms by continuing to browse the site. A customer accepts them by signing a quotation, issuing a purchase order, asking the company to begin work or allowing a crew to begin work on site. If a person does not agree with these terms, that person should not use the website or ask the company to perform work.
Where a signed project agreement, a master service agreement or a written contract exists between the company and a customer, that document takes priority over these terms if the two conflict. These terms fill the gaps that such a document leaves open.
Only an authorized representative of ArcSquad LLC may agree to a variation of these terms. A verbal statement by a crew member on site does not change them unless it is later confirmed in writing by the office.
2. Definitions
In these terms, the company means ArcSquad LLC, its owners, employees, contractors and agents. The customer means the person or organization that requests work, accepts a quotation or owns the site where work is performed. The website means the pages served at https://www.arcsquad.lat. The services means the welding, fabrication, repair, inspection, stair and rail, emergency and systems design work described on the site. A quotation means a written estimate of scope, price and schedule. A work order means the document that authorizes a specific job. Business day means a day other than Saturday, Sunday or a public holiday observed at the company yard.
A site means the physical location where work will be performed. A delivery point means the yard or another location where the company hands over finished work. Hazard includes live electrical service, stored fuel, gas lines, moving machinery, traffic, confined spaces, working at height and any condition that could injure a person or damage property.
3. Our Services
ArcSquad LLC provides structural arc welding, mobile repair crews, fabrication fixes, certified weld inspections, metal stair and rail work, emergency call-outs and related computer integrated systems design services. The services page of this website describes each line in detail and forms part of the context for these terms.
The company performs work with reasonable skill and care and with people who are competent for the task. The company decides on the methods, sequence and tooling for a job unless a customer has supplied a specification that must be followed. If a supplied specification is unclear or appears unsafe, the company will raise the issue before work begins and will not proceed on an unsafe instruction.
Descriptions, photographs and examples on this website are illustrative. They show the kind of work the company performs and do not promise that a particular outcome will be identical on another job.
4. Permitted Website Use
A visitor may read the pages, print a page for personal reference and use the contact form to send a genuine inquiry. A visitor may not attempt to interfere with the operation of the site, probe it for vulnerabilities without written permission, copy its design as a template for another business, or use automated tools in a way that burdens the hosting service.
The text, layout, styling and code of this website belong to ArcSquad LLC or are used with permission. A visitor may quote a short passage with a visible reference to the source, but may not republish substantial portions without written consent. Linking to the homepage or to a service page is welcome.
The company may change the content of the website at any time. Pages may be removed or replaced as services evolve. The company does not promise that every page will remain available or that a page will always be free of typographical error.
5. Inquiries and Quotations
An inquiry is not an order. The company answers an inquiry with information, a request for more detail or a quotation. A quotation states the scope, the price, the expected schedule and any assumptions that shaped the price. A quotation is valid for thirty days unless it says otherwise, because steel and parts prices move.
To turn a quotation into an order, the customer must accept it in writing or issue a purchase order that matches the quoted scope. The company may decline a job for any lawful reason, including a schedule conflict, a lack of suitable crew, an unsafe site or a scope that is outside its competence.
If a customer provides photographs or a description of a part, the company may quote from that material without a site visit. If the actual condition differs from the material, the company will explain the difference and provide a revised quotation before proceeding with the extra work, unless the difference creates an immediate safety risk, in which case the company may take reasonable protective action and explain it afterwards.
6. Booking and Scheduling
A booking is confirmed when the customer accepts a quotation and the office gives a date. Dates are given in good faith but may shift because of material lead times, weather, site readiness or the needs of a job already in the bay. The company will tell the customer as soon as it knows a date will move.
Emergency call-outs are handled separately. The dispatch desk records the site, the hazard and the contact person, quotes the call-out fee and assigns the next available crew. An emergency visit may displace a routine booking, and the company will reschedule the affected routine work as quickly as it can.
The customer is responsible for confirming that the site is available on the booked date. If a crew arrives and cannot access the work area through no fault of the company, a standby charge may apply and will be explained before it is invoiced.
7. Pricing and Payment
Prices are stated in United States dollars. A quotation may include labor, material, consumables, travel and inspection as separate lines. Sales tax is added where required by law and is shown on the invoice. The company reserves the right to correct a clear clerical error in a quotation before work begins.
Payment terms are stated on the invoice. Unless a different arrangement is agreed in writing, invoices are due within thirty days of issue. A deposit may be required before material is ordered for a larger project. Emergency call-outs may require payment at the time of service. The company accepts the payment methods listed on the invoice and does not store full card numbers in its own systems.
Late payment may attract interest at the maximum rate allowed by law, and the company may suspend work on an account with an overdue balance after giving a written reminder. The customer remains responsible for the costs of collecting an unpaid invoice where the law allows such recovery.
8. Customer Responsibilities
The customer agrees to provide accurate information about the site, the equipment and the history of a failure. The customer agrees to disclose known hazards, including buried utilities, gas lines, sprinkler lines, live electrical circuits and any condition that could affect the safety of the crew. The customer agrees to obtain any permit, approval or owner consent that the work requires, unless the company has agreed in writing to handle it.
The customer agrees to secure valuables, move vehicles and clear the work area before the crew arrives. The customer agrees to designate a person who can make decisions on site and who can authorize a change if an unexpected condition appears. Where the customer is not the site owner, the customer confirms that the owner has authorized the work.
The customer agrees not to alter, load, cover or modify completed work in a way that affects its safety or its certification until the company has been consulted. Repairs to a certified weld by another party may void the certificate issued by the company.
9. Site Access and Safety
The company controls safety within the immediate work area while its crew is present. The customer remains responsible for overall site safety, for traffic control outside that area and for conditions created by other trades. The company may stop work if a condition makes safe work impossible and will explain what needs to change before work resumes.
The customer agrees to provide reasonable access to power and water where the scope assumes it. The company supplies its own generator, welding equipment and personal protective equipment as standard. If a job requires a lift, a crane or a scaffold beyond the company own resources, the customer or the company may arrange it, and the cost is handled according to the quotation.
The company may refuse to perform work that would require an unsafe practice, and such a refusal does not constitute a breach of these terms. A stoppage for safety reasons may affect the schedule, and the company will work with the customer to recover lost time.
10. Inspections and Certificates
An inspection report describes the condition of the work that the inspector could observe on the date of inspection. It is not a guarantee that a hidden defect does not exist. A weld that is covered by paint, sealant, a neighbouring member or an assembly cannot be fully assessed, and the report will note any such limitation.
A certificate issued by the company relates to the specific joint, part or assembly identified in the report and to the date of issue. It does not extend to later modifications, to additional loading, or to work performed by another party. If a certified item is altered, the certificate becomes void unless the company inspects the altered item and issues a new document.
Where a building official, insurer or client requires a test beyond the company own inspection, the company will recommend a qualified testing partner and coordinate the visit. The cost of such a test is quoted separately and remains the responsibility of the customer unless the quotation states otherwise.
11. Project Changes and Delays
A change to the scope may affect price, schedule or both. When a change is proposed, the company will describe the effect in writing before the extra work begins. If the change is urgent, the company may proceed after a verbal approval and confirm the details afterwards.
Delays beyond the control of the company include weather, utility locate delays, late delivery of steel or parts, site access problems and changes requested by the customer. The company will not charge for time lost to a cause within its own control. Time lost to an external cause may be handled as a schedule adjustment rather than a penalty.
If a customer suspends a project for more than thirty days, the company may invoice work completed to that point and store finished or partly finished material at the yard. Storage beyond thirty days may attract a charge, which will be agreed before it is applied.
12. Materials and Tolerances
Steel, aluminum, stainless and coatings are supplied to the specification in the quotation. Where the customer supplies material, the company will inspect it for obvious defects but cannot guarantee its grade, history or suitability. If supplied material is unsuitable, the company will say so and may recommend an alternative.
Welding and cutting introduce heat, and some movement is normal. The company works to the tolerances stated in the quotation or, where none are stated, to the tolerances normal for structural fabrication in the region. Where a drawing calls for a tighter tolerance, the company will discuss whether it can be met before accepting the job.
Finishes, coatings and paint may vary slightly between batches. The company will match a previous finish as closely as practical where a sample is provided, but an exact match cannot be guaranteed across different batches or suppliers.
13. Workmanship Warranty
ArcSquad LLC warrants its workmanship for twelve months from the date of completion. If a defect in the company own workmanship appears within that period and is reported promptly, the company will repair it at no charge for labor. This warranty covers the quality of the weld, the fit of the joint and the assembly of the parts the company built.
The warranty does not cover damage from misuse, overload, impact, corrosion, lack of maintenance, alteration by another party, or conditions that were not disclosed at the time of the quotation. It does not cover normal wear on moving parts or the performance of materials supplied by the customer. Parts and coatings carry the warranty of their manufacturer.
To make a warranty claim, contact the company with the job number, a description of the issue and photographs where possible. The company will inspect the work and decide whether the issue falls within the warranty. Repairs under warranty do not extend the original warranty period unless the company agrees in writing to do so.
14. Limitation of Liability
To the fullest extent allowed by law, the total liability of ArcSquad LLC for any claim arising from a project is limited to the amount the customer paid for the specific work that gave rise to the claim. The company is not liable for indirect, incidental, special or consequential losses, including lost profit, lost production, lost use of equipment or the cost of substitute services.
This limitation does not apply to liability that cannot be limited by law, including liability for death or personal injury caused by the negligence of the company, or for fraud. Nothing in these terms reduces a right that a consumer holds under mandatory law.
The company is not responsible for work that it was not asked to perform, for conditions it was not told about, or for the actions of another contractor on the same site. Where a failure results from a combination of causes, the company responsibility is limited to its own share of the fault.
15. Indemnity
The customer agrees to indemnify and hold harmless ArcSquad LLC from claims, losses and reasonable costs that arise from inaccurate information supplied by the customer, from a hazard that was known to the customer and not disclosed, from the customer own breach of these terms, or from the acts of another party on the site.
The company agrees to indemnify the customer from claims that arise from the company own negligent workmanship or from a breach of these terms by the company. This mutual indemnity is limited to the extent of each party own responsibility for the loss.
A party seeking indemnity must notify the other party promptly, allow the other party to participate in the defence where appropriate, and cooperate in the handling of the claim. No settlement that admits fault on behalf of the other party may be agreed without that party written consent.
16. Intellectual Property
The design, text, styling and code of this website are the property of ArcSquad LLC or are used under licence. The company name, the wordmark and the visual identity of the business may not be used in a way that suggests endorsement without written permission.
Drawings, sketches and detail sheets prepared by the company for a customer are provided for the purpose of the project. The customer may use them to build, maintain and repair the item described. The customer may not resell the drawings as a design package or use them to have the same item produced by another fabricator without written consent.
Material supplied by the customer remains the customer property, but the company may photograph and refer to completed work in a portfolio, in a quotation to another client or in a case note, provided that no confidential customer detail is disclosed. A customer may ask in writing that photographs of its project not be shown publicly, and the company will honor that request.
17. Third Party Links and Content
This website may link to mapping services, supplier pages, testing bodies or other external sites. Those links are provided for convenience. ArcSquad LLC does not control the content of an external site and is not responsible for its accuracy, its availability or its privacy practices.
Where the company recommends a partner, such as a coater, a machinist or a testing lab, the recommendation is based on experience but the partner remains an independent business. The company is not liable for the work of a partner unless the company arranged it as part of a quoted scope and remains responsible for coordinating it.
18. Cancellation and Return Visits
A customer may cancel a booking by contacting the office as early as possible. If material has already been ordered or cut for the job, the customer is responsible for the cost of that material and for work already performed. A cancellation fee may apply where a crew has already been dispatched.
If a return visit is needed because a fault lies in the company workmanship, the visit is at no charge. If the return visit is needed because of a change requested by the customer, a new condition on site or a part supplied by the customer, the visit is quoted before it is scheduled.
The company will not cancel a confirmed booking without good reason. If the company must cancel, it will give as much notice as possible and will offer the next available date. Amounts already paid for work not performed will be refunded or credited.
19. Privacy
The handling of personal information is described in the Privacy Policy published on this website. That policy explains what is collected, why it is used, how long it is kept and what rights a person has. By using the website or the services, a person confirms that they have had the opportunity to read the Privacy Policy.
Questions about privacy can be sent to service@arcsquad.lat or raised by telephone at +14453420288. The company address for written inquiries is 841 Shannon Rd, Kaysville - 84037-1539, United States (US).
20. Force Majeure
The company is not liable for a delay or a failure to perform caused by an event beyond its reasonable control. Such events include severe weather, wildfire, flood, earthquake, public health measures, utility failure, transport disruption, a shortage of steel or parts, a labour dispute, a government order or any other event that makes performance impractical or unsafe.
If such an event occurs, the company will notify the customer as soon as practical, explain the effect on the schedule and work with the customer to find a way forward. If the event continues for more than sixty days, either party may end the affected portion of the project, and the customer will pay for work already completed and material already committed.
21. Governing Law and Disputes
These terms are governed by the laws of the State of Utah, United States, without regard to its conflict of law rules. The parties will first try to resolve a dispute through good faith discussion. A written notice of a dispute should be sent to the company address at 841 Shannon Rd, Kaysville - 84037-1539, United States (US), with a description of the issue and the outcome the sender is seeking.
If discussion does not resolve the matter within thirty days, either party may propose mediation with a neutral mediator in Davis County, Utah. If mediation does not resolve the matter, the dispute may be brought before a court of competent jurisdiction in Davis County, Utah, and each party submits to the jurisdiction of that court.
Nothing in this section prevents either party from seeking urgent relief from a court where delay would cause serious harm, or from bringing a claim in a small claims court where the amount in dispute falls within that court limit.
22. Termination
The company may end the agreement to provide work if a customer fails to pay an undisclosed overdue balance, provides false information about a site, creates an unsafe condition that is not corrected, or asks the crew to perform work that would be unlawful or unsafe. The company will give written notice and a reasonable period to correct the issue where correction is possible.
A customer may end an ongoing project by written notice. On termination, the customer pays for work completed, material committed and any agreed cancellation fee. The company returns customer supplied material that is still in its possession, apart from material that has already been cut or permanently fixed as part of the work.
Provisions that by their nature should survive termination, including payment duties, warranty terms, limitations of liability, indemnity and governing law, continue to apply after the project ends.
23. General Provisions
These terms, together with a quotation and any signed project agreement, form the entire agreement between the parties on the subject of the work. A statement made before the agreement that is not reflected in those documents does not form part of the agreement, except where the law requires otherwise.
If a provision of these terms is found to be invalid or unenforceable, the remaining provisions continue in effect. The invalid provision is read down to the minimum extent needed to make it valid, or it is removed if it cannot be read down. A failure to enforce a provision on one occasion does not waive the right to enforce it later.
The customer may not assign the agreement without the written consent of the company. The company may assign the agreement to a successor business that takes on the same obligations. Notices are effective when sent by email with confirmation of receipt or by a delivery service with tracking. Headings in these terms are for convenience and do not affect interpretation.
The company may update these terms from time to time. An update applies to new quotations and to future visits. The version in effect on the date a quotation is accepted governs that job unless both parties agree in writing to adopt a later version.
24. Contact Information
Questions about these terms, a quotation or a project should be sent to the company using the details below. The dispatch desk answers during business hours, and the telephone line remains open around the clock for emergency call-outs.
